Quick answer: to buy shares in a Kenyan IPO you need a CDS account first, then you apply during the offer period through the channels named in the offer document (usually an online portal, a USSD code, a stockbroker or the placing agents) and pay by M-Pesa or bank before the deadline. After the offer closes, the issuer announces the results, credits allotted shares to your CDS account and refunds any excess money. For example, the Quick Mart PLC offer, open until 5pm on 30 October 2026, has a minimum of 500 shares at KSh 7.50 (KSh 3,750) and can be applied for online, by USSD *483*803# or through placing agents, according to its official IPO website.
This guide explains each step in plain terms, uses the Quickmart offer as a worked example, and covers allotment, refunds, tax and the risks to weigh. It is information, not investment advice.
In this guide
Step 1: Open a CDS Account
Shares listed on the Nairobi Securities Exchange (NSE) are held electronically in a CDS account at the Central Depository and Settlement Corporation (CDSC). Any shares you are allotted in an IPO are credited there, so you must have a valid CDS account before you apply. Any licensed stockbroker or investment bank can open one, and some apps open it for you. Our guide to buying shares on the NSE covers brokers, apps and fees.
You will usually need your national ID or passport, KRA PIN and a bank or M-Pesa account for refunds and dividends. Opening the account can take a few days, so do it well before the offer closes.
Step 2: Read the Offer Document
Every IPO approved by the Capital Markets Authority (CMA) has a prospectus or information memorandum. Read at least these parts:
- Offer price and minimum application.
- Offer period and payment deadline. Late applications are rejected.
- Allocation policy. How shares are shared between retail, institutional, regional and foreign investors if demand is high.
- Minimum subscription. Some offers lapse and refund everyone if not enough is raised.
- Risk factors and the financial statements.
- Where the money goes. In an offer for sale, existing owners sell shares and the company gets none of the cash; in a new issue, the company raises fresh capital.
CMA approval means the document meets disclosure rules. It is not a statement that the shares are a good buy.
Step 3: Apply Through an Approved Channel
Use only the channels listed in the offer document or on the issuer’s official IPO website. For the Quickmart offer, the official site lists three:
| Channel | How it works | Limits |
|---|---|---|
| Online portal (quickmartipo.e-offer.app) | Enter your CDS number, mobile and email; your details are pulled from CDSC; choose the amount and pay by M-Pesa prompt or bank transfer | Refunds above KSh 250,000 go by bank transfer |
| USSD *483*803# | Pick your broker, enter CDS and ID numbers, choose shares, pay by M-Pesa now or later | Up to KSh 250,000 per payment |
| Placing agents | Hand in a serialised physical form at a placing agent, including Stanbic Bank Kenya branches | As set by the agent |
The site also lists Safaricom’s Ziidi Trader app as a way to apply. Paying is free to the investor apart from your own transfer charges. Applications are irrevocable: you cannot withdraw or change them without the issuer’s written consent.

Quickmart issued a supplementary memorandum dated 23 October 2026 adding cornerstone investors, which changes how many shares are left for other buyers; see our report on the new anchor investors. Dates can change with CMA approval.
Step 4: Allotment if the Offer Is Oversubscribed
If more people apply than there are shares, each investor category can be scaled back, usually pro rata, so you may receive fewer shares than you paid for. Multiple applications under the same CDS account or name are combined into one. Shares left over in an undersubscribed category are often moved to oversubscribed ones, with the order set out in the offer document. In Quickmart’s case, Kenyan retail investors are first in line for reallocated shares, and direct staff get priority within that category.
Step 5: Get Your Refund and Check Your CDS Account
Excess money is refunded to the M-Pesa or bank account you gave when applying. Keep your confirmation SMS or email, the form serial number and your payment proof. If shares or a refund do not arrive by the stated date, contact the registrar named in the offer document; for Quickmart that is Image Registrars (+254 709 170 000).
Step 6: Selling After Listing
Once trading starts, you sell through your stockbroker or app like any other NSE share, and there is no minimum holding period unless the offer says so. Share prices can fall below the IPO price. See how NSE trading and fees work.
Tax on IPO Shares
Quickmart’s FAQ summarises current law as: dividends taxed at a final 5% withholding tax for Kenyan residents and EAC citizens and 15% for non-residents; gains on selling NSE-listed shares exempt from capital gains tax; and no stamp duty on transfers. Check with a tax adviser for your own case.
Common IPO Mistakes
- Waiting until the last day to open a CDS account.
- Paying into an account or number not listed in the offer document. Fraudsters copy IPO adverts.
- Borrowing to apply, expecting a quick gain.
- Forgetting that oversubscription means a smaller allotment and money tied up until refunds.
- Not checking dividend policy, debt and who is selling.

500 shares at KSh 7.50, which is KSh 3,750, then multiples of 100 shares.
